Terms of service. The contract between ReadyPep and every researcher.

These Terms of Service form a binding agreement between you (the Researcher) and ReadyPep (the Distributor). ReadyPep is a United Kingdom-based authorized distributor of pre-filled, dial-an-aliquot research peptide pens manufactured by Metatide Healthcare. ReadyPep does not synthesize, fill, repackage or relabel any product. Manufacturer paperwork, lot trace and primary product responsibility remain with Metatide Healthcare.

Products means the research compounds, pens, lab consumables and protocols offered through readypep.com. Site means the readypep.com domain and any sub-domain operated by ReadyPep. Account means the authenticated researcher profile created on the Site. Order means a confirmed purchase request you submit through the Site, by email, or by WhatsApp.

1. (a)By using the Site, creating an Account, or placing an Order, you confirm you have read, understood, and accepted these Terms in full.
2. (b)If you do not agree with any part of these Terms, you must not use the Site, must not create an Account, and must not place an Order.
3. (c)These Terms must be read together with our Privacy Policy, Research Disclaimer, Shipping Policy, Refund Policy and Distribution Policy. Together they form the Agreement.

ReadyPep ships exclusively to qualified scientific personnel for in-vitro research at registered institutions. Eligibility is verified twice in the buyer journey: at signup, when you create an Account, and again at checkout, before any Order is finalised on WhatsApp. Both attestations are recorded with timestamp, IP address and user-agent for the regulatory file.

By creating an Account or placing an Order, you affirm each of the bullets below. A false affirmation is a material breach of this Agreement and may also constitute fraud under applicable consumer-protection law.

• You are at least 21 years of age.
• You are a qualified researcher, lab technician, scientist, healthcare professional, or institutional purchaser acting in that capacity.
• You are buying the Product strictly for in-vitro laboratory research, analytical testing, or method development.
• You will not administer, ingest, inject, inhale, apply or otherwise expose the Product to a human, animal or any living organism, in vivo, ex vivo or otherwise.
• You will not resell, redistribute, repackage, relabel, or otherwise place the Product on any consumer market, regulated or unregulated.
• You are not a resident of, or shipping to, any jurisdiction where receipt or possession of research peptides is prohibited.

You are responsible for keeping your Account credentials confidential and for every act performed through your Account. You agree to provide accurate, current and complete information at signup and to maintain that information as it changes. Inaccurate or stale shipping data is the single most common cause of delivery failure and is your responsibility, not the courier.

ReadyPep may suspend, restrict, or close any Account where it reasonably believes the Account has been used in breach of this Agreement, has supplied false attestations, has been used for fraudulent payment, or has been used to circumvent restricted-destination rules.

1. (a)Notify compliance@readypep.com immediately if you suspect unauthorised use of your Account.
2. (b)We never ask for passwords by email, WhatsApp or telephone. Any such request is a phishing attempt and should be reported.
3. (c)One Account per researcher. Shared institutional Accounts are permitted but each authorised user must complete the research-use attestation in their own name.

An Order is an offer by you to purchase the Product subject to these Terms. The Agreement of sale is formed when ReadyPep issues the order-confirmation message after the WhatsApp checkout step, not when you submit the cart. Until that confirmation is sent, ReadyPep may decline any Order, in whole or in part, for reasons including, without limitation: failed eligibility attestation, suspected misuse, restricted destination, sanctions screening, payment-method mismatch, or stock unavailability.

Prices, currencies, protocol compositions and availability shown on the Site are indicative and may change without notice up to the moment the order-confirmation message is issued. Pricing errors caused by typographical, currency-conversion or feed-import mistakes do not bind ReadyPep; we will notify you and offer either the corrected price or a full refund.

1. (a)All prices are quoted excluding any import duties, VAT, GST or local sales tax assessed at destination. Where ReadyPep is the importer of record (rare, only for pre-arranged institutional accounts), VAT is added at the applicable rate.
2. (b)Free worldwide express shipping (DHL Express or FedEx) is included on every order, including replacements. See the Shipping Policy for transit estimates and country-specific exceptions.
3. (c)Customs duties at destination are the buyer responsibility. ReadyPep does not pre-pay third-country duties on behalf of researchers and does not issue refunds because duties were not anticipated.
4. (d)Promotional codes and protocol discounts may not be combined unless explicitly stated. Bulk and institutional pricing is available on request to compliance@readypep.com.

Checkout is finalised over WhatsApp on a researcher-by-researcher basis. Payment is made through a secure payment link issued by the Distributor during that exchange. The Distributor may make further payment methods available at its discretion; any such method is confirmed with you in the WhatsApp exchange before payment is taken. Cash and money-order payments are not accepted.

Title to the Product passes to you on full receipt of cleared funds and on issuance of the order-confirmation message. Risk of loss passes on hand-off of the parcel to the chosen courier. Tracking is provided to your registered email address and Account.

ReadyPep reserves the right, exercised in good faith, to refuse, cancel, partially fulfil, or hold any Order. Reasons include, without limitation, the eligibility-attestation failures described above, unverifiable shipping addresses, sanctions or denied-party hits, abnormally large quantities inconsistent with research-scale use, repeated breach of past Agreement terms, and shipping destinations on the Distributor no-ship list.

The current restricted-destination list is published in the Shipping Policy and updated as customs, sanctions and carrier rules evolve. Inclusion or exclusion from that list is at ReadyPep commercial discretion and is not guaranteed in advance to any specific researcher.

All content on the Site (including the ReadyPep marks, the Metatide Healthcare marks displayed under licence, photography, illustration, copy, animations, certificate-of-analysis layouts, the design system tokens, and any associated source code) is owned by ReadyPep, by Metatide Healthcare or by their respective licensors. Nothing in this Agreement transfers any intellectual-property right to you.

You may view, download and print Site content for the limited purpose of evaluating, ordering, and operating Products as a Researcher. You may not scrape, mirror, republish, train models on, or commercially exploit the Site or its content without prior written consent from ReadyPep.

You agree not to use the Site or any Product in a way that is unlawful, fraudulent, harmful, or that breaches the eligibility attestations above. The list below is illustrative, not exhaustive.

• Reverse-engineering, modifying, repackaging or relabelling Products for any purpose.
• Reselling Products through e-commerce marketplaces, social-media DMs, or third-party storefronts.
• Diverting Products to consumer or non-research channels, with or without representation that the Product is for human or veterinary use.
• Submitting any false statement to ReadyPep, the courier, customs authorities, or a payment processor.
• Using the Site to harass, defame or threaten ReadyPep staff, partners, or other researchers.
• Attempting to bypass authentication, rate limits, age gates, or research-attestation steps in software.
• Using bots, scrapers, headless browsers or any automated tooling against the Site without prior written consent.

The Site is provided as-is and as-available. To the maximum extent permitted by applicable law, ReadyPep disclaims all warranties, express, implied or statutory, regarding the Site itself, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of indicative pricing, and uninterrupted availability.

Product warranties are stated separately, narrowly and in writing, in the Refund Policy. The principal Product warranty is the third-party certificate guarantee: if a delivered lot tests below the spec on its published third-party certificate, ReadyPep refunds or replaces it. Outside that explicit guarantee, Products are sold on a research-use basis without further warranty of any kind.

To the maximum extent permitted by applicable law, the total aggregate liability of ReadyPep, its officers, employees, contractors and Metatide Healthcare to you under this Agreement is limited to the amount you actually paid ReadyPep for the Order giving rise to the claim in the twelve months preceding the event that triggered the claim.

In no event will ReadyPep be liable to you, or to any third party claiming through you, for indirect, incidental, special, consequential, exemplary or punitive damages (including, without limitation, lost research time, lost data, lost grants, reputational harm, or substitute-procurement costs) arising out of or in connection with the Site, the Products, or this Agreement, even if ReadyPep was advised of the possibility of such damages.

Nothing in this Agreement excludes liability that cannot lawfully be excluded under English statutory law, including liability for death or personal injury caused by negligence, for fraud, or for any other liability the exclusion of which is prohibited by mandatory consumer-protection rules in your jurisdiction.

You agree to defend, indemnify and hold harmless ReadyPep, Metatide Healthcare, their officers, directors, employees, contractors and licensors from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or related to: (i) your breach of this Agreement; (ii) any false research-use attestation submitted under your Account; (iii) any unlawful, off-label, in-vivo or consumer use of a Product after delivery; (iv) any onward distribution, resale or transfer of a Product; or (v) any claim by a third party caused by an act or omission attributable to your Account.

ReadyPep is not liable for delay or failure in performance caused by events outside its reasonable control. These include, without limitation: courier strike or capacity collapse, customs seizure or hold, airport closure, natural disaster, fire, flood, war, terror incident, civil unrest, public-health emergency, sanctions update, government order, cyber-attack on infrastructure providers, or extended outage at a key processor (payments, hosting, mail). Where a force-majeure event prevents fulfilment, ReadyPep will notify the affected researcher promptly, and either re-ship as soon as practicable, or refund in full, at the researcher option.

This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes) is governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that mandatory consumer-protection law in your country of residence may grant you the right to bring proceedings in your local courts.

Before issuing proceedings, both parties agree to attempt good-faith resolution by writing to compliance@readypep.com. If the matter is not resolved within thirty (30) days of that notice, either party may proceed.

If any provision of this Agreement is held invalid, illegal or unenforceable by a court of competent jurisdiction, that provision is to be modified to the minimum extent necessary, or severed, and the remaining provisions continue in full force. A waiver of any breach is effective only in writing signed by ReadyPep and only for the specific instance.

Together with the documents it cross-references, this Agreement constitutes the entire agreement between you and ReadyPep about its subject and supersedes all prior or contemporaneous communications, drafts and proposals on the same subject.

ReadyPep may update these Terms from time to time. The currently effective version is always the one published on this page, with the date stamp visible at the top of the document. Material changes (for example to liability, governing law, payment, or eligibility) are signposted by email to all Account holders at least fourteen (14) days before they take effect, except where a shorter notice is required to comply with law.

Continued use of the Site, of an Account, or of a fulfilled Order after the effective date of an updated version constitutes acceptance of that updated version. If you do not accept an update, you may close your Account and request deletion of your data under the Privacy Policy.
